GENERAL TERMS AND CONDITIONS OF SALE M&V S.r.l.
1. DELIVERY
Delivery times are indicative and not essential.
M&V S.r.l. shall not be held liable for delays due to force majeure or circumstances beyond its control, including but not limited to: unavailability of raw materials, strikes, transport interruptions, natural events, decisions by authorities, or unforeseen production difficulties. Any modifications requested by the customer after order confirmation shall automatically result in an extension of the delivery time. 2. PRICESM&V S.r.l. reserves the right to modify prices and technical specifications of its products at any time, provided that the prices confirmed at the time of order acceptance shall apply to individual orders.
3. PAYMENTSFailure or delay in payment shall result in: automatic application of default interest pursuant to Legislative Decree 231/2002;
suspension of any further supplies; loss of the benefit of the term. Confirmed orders may not be cancelled without the written consent of M&V S.r.l. Any advance payments shall be retained without prejudice to compensation for any greater damages. 4. WARRANTYConsumers, The legal warranty of conformity of 24 months pursuant to Legislative Decree 206/2005 shall apply. The defect must be reported within 2 months from delivery.
Professional customers (B2B) The warranty period is 12 months from delivery. Any defects must be reported within 7 days from receipt; after this term, the products shall be deemed accepted. The warranty exclusively covers the repair or replacement of the component recognized as defective, subject to technical verification by M&V S.r.l. Any compensation for indirect damages, loss of use, downtime, or loss of profit is excluded. The warranty shall be void in the event of: improper use non-compliant maintenance unauthorized interventions incorrect installation 5. LIMITATION OF LIABILITYM&V S.r.l. shall not be held liable for indirect, consequential damages or loss of profit arising from the use of the products. The total liability of M&V S.r.l., if established, shall in any case not exceed the value of the supplied product. .
6. RETURNS AND RIGHT OF WITHDRAWALCustomized products
Pursuant to Art. 59, paragraph 1, letter c) of Legislative Decree 206/2005, the right of withdrawal is excluded for customized products (painting, wood-effect finishes, or other modifications made upon customer request). Standard products For non-customized standard stainless steel models, the consumer may exercise the right of withdrawal within 14 days from delivery of the product, in accordance with applicable law. The product must be returned intact, undamaged, without signs of use other than those necessary to verify its nature and functioning, complete with all accessories and in its original packaging; any signs of use exceeding normal inspection may result in a reduction of the refund. Order confirmation constitutes express acceptance of this clause. 7. TRANSPORT AND CLAIMSGoods are shipped at the customer’s risk.
Any transport damage must be contested to the carrier at the time of delivery with written reservation. 8. RETENTION OF TITLEThe goods shall remain the property of M&V S.r.l. until full payment of the agreed price.
9. DISPUTESFor sales between professionals (B2B), the Court of Naples shall have exclusive jurisdiction.
10. ACCEPTANCE OF CLAUSESPursuant to Articles 1341 and 1342 of the Italian Civil Code, the professional customer expressly declares to approve the clauses set forth in the following articles: 1 (Delivery), 2 (Prices), 3 (Payments), 4 (B2B Warranty), 5 (Limitation of Liability), 7 (Transport), 9 (Jurisdiction).
